{"id":43,"date":"2026-01-26T17:11:05","date_gmt":"2026-01-26T23:11:05","guid":{"rendered":"http:\/\/208.161.163.135\/?page_id=43"},"modified":"2026-03-24T22:46:16","modified_gmt":"2026-03-25T03:46:16","slug":"ozark-amateurs-by-laws","status":"publish","type":"page","link":"http:\/\/208.161.163.135\/index.php\/ozark-amateurs-by-laws\/","title":{"rendered":"OHMS Constitution and By-Laws"},"content":{"rendered":"\n<h2 class=\"wp-block-heading\">THIS PAGE IS UNDER CONSTRUCTION AND IS NOT YET APPROVED<\/h2>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Constitution of Ozark Ham Members Society<\/strong><\/h2>\n\n\n\n<p><strong>Preamble<\/strong><\/p>\n\n\n\n<p>We, the members, wishing to secure for ourselves the pleasures and benefits of an association of people commonly interested in amateur radio, constitute ourselves the Ozark Ham Members Society, located in Ozark, Alabama, USA, and enact this Constitution as our governing law.<\/p>\n\n\n\n<p><strong>Purpose<\/strong><\/p>\n\n\n\n<p>It shall be our purpose to further the exchange of information and cooperation between members, to promote radio knowledge, camaraderie, and individual operating efficiency, and to conduct club programs and activities to advance the art, science, and enjoyment of amateur radio in the community.<\/p>\n\n\n\n<p><strong>Article I Membership<\/strong><\/p>\n\n\n\n<p>(a) Any licensed amateur radio operator my apply for full membership in this organization. Full membership includes the right to vote on proposals or motions before the membership, to make motions for consideration by the group, to participate in committees and activities of the group.<\/p>\n\n\n\n<p>(b)Associate membership is a level designated for those interested in or studying for their license or spouses of members in either category. Associate members are not permitted to vote on the issues before the club, but may participate in discussion and debate on issues prior to those issues being decided.<\/p>\n\n\n\n<p>(c) Membership shall be by application and election upon such terms as the club shall provide in its By-Laws. <\/p>\n\n\n\n<p>(d) Applicants cannot be denied because of race, creed, color, religion, gender, sexual orientation, political affiliation, marital status, or any other reason that would be biased or prejudicial.<\/p>\n\n\n\n<p><strong>Article II Officers<\/strong><\/p>\n\n\n\n<p><strong>Section 1. Officers<\/strong> The officers of this club shall be President, Vice-President, Secretary, and Treasurer. The terms of each office shall be for _____ year(s). Since all positions were newly elected in __month and year__, the terms of the President and Secretary will initially be __________ , in order to allow for positions to be elected on a staggered cycle, thereby providing for continuity within club leadership.<\/p>\n\n\n\n<p><strong>Section 2. Election<\/strong><\/p>\n\n\n\n<p>The officers of the club shall be elected at the annual meeting for terms as noted in Section 1. <\/p>\n\n\n\n<p>Elections shall be by ballot of the members present at the meeting, provided there is a quorum. A quorum is defined in Article IV of this document.<\/p>\n\n\n\n<p><strong>Section 3. Term limits<\/strong><\/p>\n\n\n\n<p><em>No officer may hold the same office for more than ____ consecutive terms without a one term break from that office. Until membership is large enough to support it, officers may fill more than one position at a time.<\/em><\/p>\n\n\n\n<p><strong>Section 4. Vacancies<\/strong><\/p>\n\n\n\n<p>Vacancies occurring <em>between<\/em> regular elections must be filled by <em>special elections<\/em> at the first regular meeting following the withdrawal, resignation, or removal of the officer.<\/p>\n\n\n\n<p><strong>Section 5. Eligibility<\/strong><\/p>\n\n\n\n<p>After one year from the formation, In order to hold an elected or appointed position, an individual must be a member in good standing for at least one year and hold a valid amateur radio license.<\/p>\n\n\n\n<p><strong>Section 6. Resignation<\/strong><\/p>\n\n\n\n<p>Any officer <strong>may<\/strong> resign their position by submitting a letter of resignation, in writing, to the other club officers, at which time all records and assets of the club in the possession of the resigning officer will be turned over to the President or Vice President.<\/p>\n\n\n\n<p><strong>Section 7. Removal of Officers<\/strong><\/p>\n\n\n\n<p><strong>Officers may be removed fr<\/strong>om office <strong>for cause<\/strong>, upon written petition presented to the President, Vice President, or the <strong>highest-ranking elected officer not on the petition for removal.<\/strong><\/p>\n\n\n\n<p>After investigation by the officers not on the petition for removal, the petition will be presented at the next regular meeting and voted on by the membership.<\/p>\n\n\n\n<p>Due to the severity of this action, removal of an officer requires a <strong>three-fourths<\/strong> vote of the full membership.<\/p>\n\n\n\n<p>** Executive Level (Board of Directors) to be created with override authority**<\/p>\n\n\n\n<p><strong>Article III Duties of Officers<\/strong><\/p>\n\n\n\n<p>**Board of Directors**<\/p>\n\n\n\n<p><strong>Section 1. President<\/strong><\/p>\n\n\n\n<p>The President shall preside at all regular meetings and conduct them according to the rules adopted.<\/p>\n\n\n\n<p>He\/She shall enforce due observance of this Constitution and By-Laws, decide all questions of order, sign all official documents adopted by the club, and perform all other duties pertaining to the office of President.<\/p>\n\n\n\n<p>At the end of his\/her term, the President shall relinquish all club documents and property in their possession to his\/her successor.<\/p>\n\n\n\n<p><strong>Section 2. Vice President<\/strong><\/p>\n\n\n\n<p>The Vice-President shall assume all the duties of the President in their absence. In addition, they shall organize club activities, plan and recommend contests for operating benefits, and advance club interest and activity as approved by the club.<\/p>\n\n\n\n<p>They shall maintain close liaison with the local Amateur Radio Emergency Service\u00ae Emergency Coordinator to further club participation in ARES\u00ae.<\/p>\n\n\n\n<p>At the end of their his\/her term, the Vice-President shall relinquish all club documents and property in their possession to their successor.<\/p>\n\n\n\n<p><strong>Section 3. Secretary<\/strong><\/p>\n\n\n\n<p>The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, present membership applications to the members in attendance at regular meetings for voting, conduct all correspondence, read communications at each meeting, publish all public correspondence, which could include newsletters, press releases, etc., and provide meeting notices to each member.<\/p>\n\n\n\n<p>The Secretary may also assume the appointed position of trustee for the club license and call sign, including all logging of license use as required, and any updates to the American Radio Relay League (ARRL) will be submitted as appropriate.<\/p>\n\n\n\n<p>At the end of their term, the Secretary shall relinquish all club documents and property in their possession to their successor.<\/p>\n\n\n\n<p><strong>Section 4. Treasurer<\/strong><\/p>\n\n\n\n<p>The Treasurer shall keep an accurate account of all club monies received and disbursed, maintain all records and receipts, and pay no bills without proper authorization (by the club or its officers constituting a business committee).<\/p>\n\n\n\n<p>At each regular meeting, they shall submit a treasurer\u2019s report disclosing an itemized statement of income, expenditures, and receipts. At the last regular business meeting of the calendar year, the Treasurer will provide club members with an annual report of income and expenditures.<\/p>\n\n\n\n<p>At the end of their term, the Treasurer shall relinquish all club property and documents in their possession to their successor.<\/p>\n\n\n\n<p><strong>Article IV Meetings<\/strong><\/p>\n\n\n\n<p>The By-Laws shall provide for regular and special meetings. At regularly scheduled meetings, a minimum of 5 members, each with a current amateur radio license, and 3 elected officers must be present to constitute a quorum, with 51% approving the transaction and ratification of business. Robert&#8217;s Rules of Order shall govern proceedings.<\/p>\n\n\n\n<p><strong>Article V Dues<\/strong><\/p>\n\n\n\n<p>The club, by majority vote, provided there is a quorum present at any regular meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization. Non-payment of such dues or assessments may be cause for expulsion from the club within the discretion of the membership. On a case-by-case basis, club officers will facilitate assisting members who are not able to maintain current dues.<\/p>\n\n\n\n<p><strong>Article VI Membership Assistance<\/strong><\/p>\n\n\n\n<p>The club will provide technical advice to members concerning equipment design and operation to assist in proper radio operation and observance of frequencies, clean signals, uniform practice, and absence of spurious radiation from club member stations.<\/p>\n\n\n\n<p><strong>Article VII<\/strong><\/p>\n\n\n\n<p><strong>Club Call Sign<\/strong><\/p>\n\n\n\n<p>The club <span style=\"text-decoration: underline;\">may<\/span> elect to apply for a club call sign as provided by FCC rules Part 97. There shall be a designated Trustee of the club station license in accordance with FCC regulations.<\/p>\n\n\n\n<p>The trustee shall:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>a. Be a member of the club in good standing.<\/li>\n\n\n\n<li>b. Meet FCC requirements.<\/li>\n\n\n\n<li>c. Have a valid Amateur Radio license that has never been revoked or sanctioned.<\/li>\n<\/ul>\n\n\n\n<p><strong>Article VIII Dissolution of The Club<\/strong><\/p>\n\n\n\n<p><strong>Section 1. Termination of Operations<\/strong><\/p>\n\n\n\n<p>In the event that the elected officers vote that the Club should be dissolved, the motion for dissolution must receive more than two-thirds of the vote of the full membership to pass.<\/p>\n\n\n\n<p><strong>Section 2. Disposition of Assets<\/strong><\/p>\n\n\n\n<p>The elected officers shall execute the disbursement of all assets of the club. No member or group of members shall receive benefits from the assets.<\/p>\n\n\n\n<p>All equipment will be sold, and net proceeds donated to a non-profit organization chosen by the elected officers. All remaining cash will be donated to a non-profit organization chosen by the elected officers.<\/p>\n\n\n\n<p><strong>Article IX Amendments<\/strong><\/p>\n\n\n\n<p>This Constitution or By-Laws may be amended by a majority vote, provided there is a quorum.<\/p>\n\n\n\n<p>Proposals for amendments shall be submitted in writing at a regular meeting, with the membership vote taking place at the next regular meeting, provided all members have been notified by mail or other electronic means of the intent to amend the Constitution and\/or By-Laws at the specified meeting.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>By-Laws of the Ozark Ham Members Society<\/strong><\/h2>\n\n\n\n<p>1. <strong>Secretary<\/strong><\/p>\n\n\n\n<p>It shall be the duty of the Secretary to keep the Constitution and By-Laws of the club and have all club records and documents at every meeting. They shall note all amendments, changes, and additions to the Constitution and shall permit it to be consulted by members upon request.<\/p>\n\n\n\n<p>2. <strong>Membership<\/strong><\/p>\n\n\n\n<p>Full membership is open to licensed Radio Amateurs and those with a genuine interest in Amateur Radio. Full membership requires the member to be age eighteen years or older, and any required dues must be current to be eligible to vote at regular or special meetings.<\/p>\n\n\n\n<p>Full membership includes all club privileges, the right to hold a club office, and voting eligibility at all regular and special meetings.<\/p>\n\n\n\n<p>Associate membership is open to those under 18 years of age who hold an Amateur Radio operator license or have a genuine interest in Amateur Radio. Associate members will have no dues requirements and are not eligible to vote or be an elected or appointed club officer.<\/p>\n\n\n\n<p>Applications for membership shall be submitted at regular meetings, and present members may vote for applicant admission at the same meeting.<\/p>\n\n\n\n<p>3. <strong>Meetings<\/strong><\/p>\n\n\n\n<p>Regular meetings shall be held ________________________??<\/p>\n\n\n\n<p>Special meetings may be called by the President upon the written request of any five club members. Notices shall be sent to members concerning the proposed business topic for special meetings. Special meeting notices shall be sent so that they arrive not less than 24 hours before the meeting. The special meeting will only conduct business and take any action on the specified topic.<\/p>\n\n\n\n<p>4. <strong>Dues, Fees, and Assessments<\/strong><\/p>\n\n\n\n<p>Club dues shall be $???? per individual, or $???? per family, paid annually in January, at the first meeting of the calendar year. Fees for those applying for membership during the year will be prorated at $??? per month remaining for the year; if someone applies with four months remaining in the calendar year, their fee will be $??? for the remainder of the year.<\/p>\n\n\n\n<p>5. <strong>Elections<\/strong><\/p>\n\n\n\n<p>Officer elections will be held annually at the regular _________ meeting unless circumstances require a special meeting. Officers will assume their elected office January 1 of the following year, or the month following a special meeting.<\/p>\n\n\n\n<p>6. <strong>Nomination Committee<\/strong><\/p>\n\n\n\n<p>The President will appoint a nomination committee two months prior to elections unless circumstances require a special meeting.<\/p>\n\n\n\n<p>The committee will be charged with identifying qualified candidates to run for office.<\/p>\n\n\n\n<p>The committee will present a ballot to the President at the regular meeting one month prior to elections, at which time the President will entertain a motion for nominations and to accept the ballot.<\/p>\n\n\n\n<p>The final ballot will be published and made available to all club members by mail or other electronic means. The president will dissolve the nomination committee after the annual elections.<\/p>\n\n\n\n<p>7. <strong>Voting<\/strong><\/p>\n\n\n\n<p><em>For business and elections: Voting will be done according to Robert\u2019s Rules of Order with the possibility of using electronic ballots (e.g., \u201cquickvoteonline.com\u201d); e-mail is acceptable for special circumstances after previous discussion among the officers.
